Supervisory Body

The Supervisory Body has the task of supervising the operation of and compliance with the 231 Model and the Code of Ethics, and has independent powers of initiative and control. In consideration of the fact that the Code of Ethics recalls principles of conduct which are also suitable for preventing the unlawful conduct referred to in Legislative Decree no. 231/2001, this document acquires relevance for the purposes of the Model and therefore constitutes an integral element thereof.

The Supervisory Body is entrusted with the task of:

  • In general, supervising the actual effectiveness of the Model in relation to the company structure and its effective capacity to prevent the crimes provided for by the Decree;
  • Observing the Model’s prescriptions, that is to say the verification of the consistency between the concrete behaviours and the defined Model;

  • Updating the Model, in case of need for adaptation in relation to changed company conditions. However, the ultimate responsibility for the adoption of the Model remains with the Board of Directors.

The Supervisory Body operates with impartiality, authority, continuity, professionalism, autonomy and suggests possible updates to the Code, also on the basis of reports provided by the Recipients. It is the obligation of each employee and collaborator of the group to report any behaviour not conforming to the principles of the Code of Ethics by all Recipients of the same. It is the Group’s concern to ensure the confidentiality of the identity of the person making the report, except for the needs connected to the performance of the duties of the Body, and to guarantee the person making the report against retaliation, unlawful conditioning, discomfort and discrimination of any kind in the workplace, which may be attributable to the reporting of one or more violations of the rules contained in the Code.

All categories of Innovatec’s stakeholders may report, in writing and not anonymously, any violation or suspected violation of the Code of Ethics to the Supervisory Committee, which shall analyse the report and, if necessary, hear the author and the person responsible for the alleged violation.   Violations or suspected violations of the Code of Ethics must be promptly reported to the Supervisory Body in writing, using the email address laura.malavenda@avvocatomalavenda.com
